This Partner Creator Policy (the "Policy") governs participation by creators ("Creator", "you") on Katakora, an audio storytelling platform operated by Skysill Company ("Katakora", "we", "us").
By creating a Creator account, uploading Content, or otherwise participating as a creator on the Platform, you accept and agree to be bound by this Policy, in addition to Katakora's general Terms of Service and Privacy Policy.
The Creator retains full ownership of all Content. By uploading Content, the Creator grants Katakora a worldwide, non-exclusive, royalty-free, revocable license to host, store, stream, reproduce, publicly perform, display, and distribute the Content through the Platform, and to create thumbnails, previews, and promotional excerpts for the purpose of operating and marketing the Platform.
This Policy is non-exclusive. The Creator is free to publish, license, distribute, or otherwise exploit the same Content on any other platform, service, or medium, without restriction.
The license granted under this section terminates automatically upon removal of the Content from the Platform by the Creator or upon termination of the Creator's participation. Katakora may retain copies of removed Content solely to the extent reasonably required for system backups, legal compliance, or processing of Tips initiated prior to removal; all such retained copies will be deleted within 90 days of the date of removal, except where retention is required by applicable law.
As between the Parties, the Creator is and remains the sole owner of all right, title, and interest in and to the Content, including all associated intellectual property rights. Nothing in this Policy transfers ownership of Content to Katakora.
The Creator represents and warrants that they own or have all necessary rights to the Content they upload, and that the Content does not infringe the intellectual property, privacy, or other rights of any third party.
Katakora currently supports Listener Tips as the currently available monetization mechanism for Creators. Tips are shared between the Creator and Katakora as follows:
The Creator's share of Tips accrues to the Creator's Creator Wallet, net of any applicable payment processor fees, and is payable out to the Creator on request and above a minimum threshold of ₦5,000, via Paystack or another payout method made available on the Platform.
Katakora may introduce additional monetization features (such as subscriptions, paid contents, or other revenue streams) in the future. Any revenue-sharing terms for such features will be communicated to Creators, and where they materially change this section, will take effect only after notice as described in Section 12.
Katakora reserves the right to adjust the revenue share described in this section on a prospective basis. Any such adjustment will be notified to Creators no less than 14 days in advance, via the Platform or by email. Adjustments will not apply retroactively to Tips already accrued.
Katakora may review, and may remove or restrict access to, any Content that violates this Policy, the Platform's community guidelines, or applicable law, with notice to the Creator where reasonably practicable. Katakora may also suspend a Creator's monetization features pending review of a good-faith complaint or legal claim regarding the Creator's Content. Katakora will use reasonable efforts to complete such review and notify the Creator of its outcome within 30 days of initiating the suspension. If no determination is made within that period, Katakora will either lift the suspension or provide the Creator with a written update and estimated resolution timeline.
This Policy applies for as long as the Creator maintains an active Creator account.
Upon termination, accrued and unpaid Tips owed to the Creator as of the termination date remain payable, subject to standard payout processing timelines and any pending fraud or dispute review.
Each Party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other Party in connection with this Policy, and not to use it for any purpose outside this Policy, except as required by law.
Each Party represents that it has the authority to participate under this Policy. The Creator agrees to indemnify and hold Katakora harmless from claims arising out of the Creator's Content or breach of this Policy. To the maximum extent permitted by law, the Platform is provided "as is," and Katakora disclaims warranties of uninterrupted or error-free operation.
To the maximum extent permitted by law, neither Party will be liable to the other for indirect, incidental, or consequential damages arising from this Policy. Katakora's aggregate liability to the Creator is limited to the amount of unpaid Tips actually owed to the Creator at the time the claim arises.
Katakora may update this Policy from time to time. Material changes (including changes to the revenue share in Section 4) will be notified to Creators at least 14 days in advance through the Platform or by email, with an updated "Last updated" date at the top of this page. Continued use of the Platform as a Creator after the notice period constitutes acceptance of the updated Policy.
This Policy is governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. The Parties will first attempt to resolve any dispute informally through good-faith negotiation for a maximum period of 90 days from the date written notice of the dispute is provided. Any dispute not resolved through informal negotiation will be submitted to the exclusive jurisdiction of the Federal High Court of Nigeria.
